Welcome to Leaders Edge Labs, a brand operated by The Medley Collective LLC, a California limited liability company (“Company,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of our website at leadersedgelabs.com (the “Site”) and your purchase of our products and services. By accessing the Site or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund & Return Policy, and our Shipping Policy, all of which are incorporated herein by reference.

1. Products and Services

Leaders Edge Labs offers experiential leadership training kits (“Labs”) designed for team facilitators, coaches, and organizational development professionals. Labs are available in two formats:

  • Physical Kits — Printed facilitator guides, participant workbooks, and scenario cards shipped to your address.
  • Digital Kits — Downloadable PDF versions of all lab materials, delivered electronically after purchase.

Each Lab is licensed for use by a single facilitating team or organization per purchase. Bulk or enterprise licensing is available by contacting us at info@leadersedgelabs.com.

2. Digital Products — License Disclosure (Cal. Civ. Code § 1783.05)

IMPORTANT: When you purchase a Digital Kit, you are purchasing a limited license to access and use the digital content — not ownership of the underlying intellectual property. Your access to and use of Digital Kit materials is subject to the license terms described in Section 7 below. This license may be revoked if the Company ceases to hold rights to the content, or if you violate these Terms. By completing a purchase of any Digital Kit, you acknowledge that you are acquiring a license and that the terms governing that license are set forth in these Terms of Service.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Site or purchase products. By placing an order, you represent and warrant that you meet these requirements and that all information you provide is truthful and accurate.

4. Account and Order Information

When placing an order, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. We reserve the right to refuse, cancel, or terminate any order at our sole discretion if we reasonably suspect inaccurate, fraudulent, or unauthorized information or activity.

5. Pricing and Payment

All prices are listed in U.S. dollars and are subject to change without prior notice. We make every reasonable effort to ensure pricing accuracy, but errors may occur. If we discover a material pricing error after you have placed an order, we will promptly notify you and provide the option to proceed at the correct price or cancel your order for a full refund.

Payment is due in full at the time of purchase. We accept major credit cards and other payment methods as displayed at checkout. All payment transactions are processed securely through our third-party payment processor. We do not store your full credit card information on our systems.

6. Sales Tax

Applicable sales tax will be calculated and added at checkout based on your shipping or billing address and the requirements of applicable state and local tax laws. You are responsible for any applicable taxes associated with your purchase.

7. Intellectual Property and License Grant

All content on the Site and within our products — including but not limited to text, graphics, logos, images, product designs, facilitator guides, workbooks, scenario cards, and all other materials — is the exclusive property of The Medley Collective LLC and is protected by U.S. and international copyright, trademark, and intellectual property laws.

License Grant: Upon purchase of a Lab, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the purchased materials solely for internal team facilitation purposes within a single organization. This license does not transfer ownership of any intellectual property rights. You may not:

  • Reproduce, distribute, sublicense, or resell Lab materials in any format, whether in whole or in part
  • Modify, adapt, translate, or create derivative works based on Lab materials
  • Share, transfer, or make available digital files to any individuals or organizations that have not separately purchased a license
  • Remove, obscure, or alter any copyright notices, watermarks, branding, or proprietary legends
  • Use Lab materials for any purpose other than internal team facilitation, including but not limited to commercial resale, public distribution, or competitive product development

Unauthorized use of our intellectual property constitutes a material breach of these Terms and may result in immediate license termination and legal action, including claims for damages and injunctive relief.

8. Digital Product Delivery and Access

Digital Kits are delivered electronically following purchase confirmation. Delivery is deemed complete when you receive access to the download link, regardless of whether you have downloaded the files. Once a digital product has been delivered, the transaction is considered final due to the nature of downloadable content, subject to the exceptions stated in our Refund & Return Policy.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, the Company makes no warranty or representation that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of our products will be accurate, reliable, or will meet your specific requirements; or (c) any particular leadership development outcomes will be achieved. Results depend on facilitation quality, participant engagement, team dynamics, organizational context, and numerous factors beyond our control.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, IN NO EVENT SHALL THE MEDLEY COLLECTIVE LLC, ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SITE OR ANY PRODUCTS; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR TRANSMISSIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO THE COMPANY FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Medley Collective LLC and its owners, members, managers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys’ fees and legal costs) arising from or related to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement or misappropriation of any third-party intellectual property or other rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or the transactions contemplated hereby shall be instituted exclusively in the state or federal courts located in Sacramento County, California, and each party irrevocably submits to the exclusive jurisdiction of such courts and waives any objection based on venue or forum non conveniens.

13. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the Company’s reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, labor disputes or shortages, supply chain disruptions, carrier delays, equipment or utility failures, or interruptions of telecommunications or internet services. In such events, the Company’s obligations shall be suspended for the duration of the force majeure event, and applicable deadlines (including shipping and delivery estimates) shall be extended by a period equal to the delay.

14. Electronic Communications

By using the Site or placing an order, you consent to receive electronic communications from us, including but not limited to order confirmations, shipping notifications, policy updates, and responses to inquiries. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will take effect when posted to the Site with an updated “Last Updated” date. Your continued use of the Site or purchase of products following the posting of any changes constitutes binding acceptance of such changes. It is your responsibility to review these Terms periodically.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.

17. Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the Company.

18. Entire Agreement

These Terms, together with the Privacy Policy, Refund & Return Policy, and Shipping Policy, constitute the entire agreement between you and the Company regarding the use of the Site and the purchase of products, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.
